End User License Agreement
GERM Datahouse · Effective September 13, 2026This End User License Agreement governs use of GERM Datahouse, an internal data integration application developed and operated by Salient Global Technologies Corp.
1. Scope and eligibility
The Software is private, internal business software. It is not offered, licensed, sold, or made available to the public, to customers, or to any third party. Use is limited to employees and authorized contractors of the Company acting within the scope of their duties.
2. License grant
The Company grants authorized users a non-exclusive, non-transferable, revocable license to use the Software solely for the Company's internal business purposes. All rights not expressly granted are reserved.
3. Restrictions
Authorized users may not:
copy, distribute, sublicense, sell, rent, or otherwise transfer the Software or any part of it to any third party;
use the Software, or data accessible through it, for any purpose other than the Company's internal business operations;
share access credentials, or permit access by anyone who is not an authorized user;
reverse engineer, decompile, or attempt to derive source code except where that restriction is prohibited by applicable law;
remove or alter any proprietary notices.
4. Ownership
The Software, including all source code, configuration, and documentation, is and remains the property of the Company. This Agreement transfers no ownership rights.
5. Third-party services
The Software connects to third-party services, including Intuit QuickBooks Online, on the Company's own accounts and under the Company's own credentials. Use of those services is additionally governed by the terms of their respective providers. The Software reads data from those services for internal reporting purposes and does not modify data held in them.
6. Data
Data accessed and stored by the Software belongs to the Company. Handling of that data is described in the Privacy Policy, which forms part of this Agreement.
7. No warranty
The Software is provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the Software will be uninterrupted, error free, or that reported figures are free from defect. Users remain responsible for verifying information relied upon for business decisions.
8. Limitation of liability
To the maximum extent permitted by law, the Company is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising from use of the Software.
9. Termination
Access terminates automatically when a user ceases to be an employee or authorized contractor of the Company, and may be suspended or revoked at any time at the Company's discretion. Sections 4, 7, 8, and 10 survive termination.
10. Governing law
This Agreement is governed by the laws of Texas, without regard to conflict of law principles.
11. Changes
The Company may update this Agreement. The effective date above indicates when this version took effect. Continued use after a change constitutes acceptance.
